I found out today that I will become GRANDPA for the first time next May! Awsome! Progress report: I weighed the KR today. It is a 24 inch stretch with an 0-200, 600X6 main gear, 6 inch tailwheel, wing tanks only, Cessna flap motor on the speed brake and basiclly just a HEAVY bird. We used some very accurate electronic=20 scales. I'm using the same C.G. range as the standard KR and will approach the rear C.G. with caution during testing. Here is the long and short of it: My C.G. range is __________________53.5 to 61.5 inches Total empty weight including oil, intercom and headset________ ____764 lbs.@53.4 inches Pilot (me) at 204 lbs._____________968 lbs.@57.9 inches Fuel (25 gal@6.2 p/g=3D155lbs._____ 1123 lbs.@58.8 inches Pass @200 lbs._________________1323 lbs.@61.2 inches I'll have to keep an eye on my baggage/passanger weight. My C.G. will move forward 1 inch from full fuel to empty fuel. As a frame of reference, Marty Robert's KR has an empty weight of 780 pounds as of the last Gathering. Jeff Scott has a KR basiclly identical to mine but he used the Continental mount from RR ( I think) and his C.G. came out an inch or two better than mine. I'm using a Hapi VW mount with a 1 inch spacer. I believe the 2s moves the wing=20 back 2 inches or stated another way, moved the firewall=20 forward 2 inches. If my fuselage were built to 2s dimensions=20 I'd be right on the money. I need to get my "N" number applied and get it inspected. I've had it on the runway for some taxi test. I've had the speed up to maybe 35 mph but have yet to lift the tail. I'll keep you posted. First, by definition, a "partnership" is two or more partners pooling capital in an effort to make a profit. In reality, there are plenty of partnerships to hold assets, family limited partnerships used in estate planning & so forth that make little or no profit and to the layman are certainly not businesses for profit. Second, as I mentioned one of the asset protection angles is that a plaintiff with a charging order against a partner can, according to the IRS, have constructive receipt of phantom income which he never recieves but is taxed on. That possibility is usually more than enough to scare off predatory plaintiff lawyers. No guarantees of course. Finally, you are correct that partnerships are not taxed even if they make profits. The profits (or losses) are passed through to the individual partners. This is documented on a form K-1 and each individual partner shows his distributed share of the profits (or losses) on his personal 1040 tax return. Finally, I repeat, get legal advice on this. Everything I say is only for information and not legal advice. Also, remember that the Limited Partnership (the kind you want) is created pursuant to state statute and must be filed with the Sec. of State. The legal formalities are few and simple, but they must be complied with or the partnership may be treated as a general partnership (bad, bad, bad from a liability standpoint). A good lawyer can also advise you on estate planning aspects of the partnership. If you die, is your wife going to stay in the partnership and fly the plane? If so, perhaps she should be a partner too. On the other hand, if her interest will be liquidated and she is not a pilot there is no point. Same for the other partner & spouse. Is your partnership going to include a buy-out agreement where the other partner buys your part in the event of some defined thing happening (such as when you die)? If the amounts involved are more than each partner can afford easily, does funding a buy-out agreement with an insurance policy make sense (common sense tells me probably not on a single KR-2). Lots of little things like that which you may not think of. Good counsel will guide you to think of them, look at your fact situation and derive a plan that works for you and your partner.
